These Terms of Service ("Terms" or "Agreement") govern your access to and use of the websites smarteat.app, subs.smarteat.app, and subs.mealplanform.com, including any related products, services, applications, and features (collectively, the "Service"). The Service is operated by Smarteat Inc., a Delaware corporation with its principal place of business at 447 Sutter St, Ste 405 PMB 77, San Francisco, CA 94108 ("SmartEat," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity, and "you" and "your" refer to that entity.

1. How SmartEat Works as a Platform
SmartEat is a technology platform that connects fitness and wellness professionals ("Business Users") with their clients ("Subscribers"). SmartEat itself does not provide nutritional, medical, or coaching services. Business Users use the SmartEat platform to deliver flexible meal plans to their own Subscribers as part of their independent business.
The platform supports two roles:
- Business Users — independent fitness or wellness professionals who use SmartEat to provide meal planning services to their own clients. Business Users include personal trainers, nutritionists, online coaches, gym or studio owners, supplement store owners, wellness business operators, and similar fitness or wellness service providers.
- Subscribers — individuals who subscribe to a meal planning service through a Business User using the SmartEat platform.
Payments are processed through Stripe Connect (Express). When a Subscriber starts a subscription, Stripe collects payment, deducts SmartEat's platform fee, and remits the remainder to the Business User as a payout from their connected Stripe account. The Business User maintains a connected account with Stripe and is responsible for their own tax reporting and compliance with applicable law in their jurisdiction.
SmartEat acts as the platform facilitator. SmartEat is not the service provider, nutritionist, dietitian, trainer, or coach for any Subscriber. The relationship for nutritional or fitness services exists between the Subscriber and the Business User. SmartEat provides only the technology and the meal planning algorithm.
2. Definitions
"Business User" means an individual or entity using the Service to provide meal planning services to their clients. Business Users include personal trainers, nutritionists, online coaches, gym or studio owners, supplement store owners, wellness business operators, and similar fitness or wellness service providers.
"Subscriber" means an individual who subscribes to a meal planning service offered by a Business User through the SmartEat platform.
"User" means any person who accesses the Service, including Business Users and Subscribers.
"Online Questionnaire" means the form completed by a Subscriber containing information used to generate a meal plan, including body metrics (height, weight, age, biological sex), goals, fitness self-assessment, activity level, pregnancy or breastfeeding status, and food preferences.
"Meal Plan" means a customizable weekly meal plan generated based on the Subscriber's Online Questionnaire responses, where the macronutrient distribution is determined by parameters set by the Business User (either reviewed individually before delivery or applied as preset settings configured in advance by the Business User). Meal Plans are provided weekly as part of an ongoing monthly subscription, and the meal selection may vary from week to week. A free 2-day sample plan is available before subscription. Meal Plans are flexible nutritional suggestions and are not medical prescriptions or dietary therapy.
"Service" means the SmartEat platform, including the websites smarteat.app, subs.smarteat.app, and subs.mealplanform.com, the meal planning software, and all related products, services, and features.
3. Eligibility
To use the Service, you must be at least 18 years of age, or at least 13 years of age with verifiable consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements.
The Service is not directed at children under 13 years of age. We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it. If you believe a child under 13 has provided personal information to us, please contact us at support@smarteat.app.
For users between 13 and 17 years of age, we recommend that a parent or legal guardian supervise the use of the Service, particularly when answering questions related to body metrics, pregnancy, or breastfeeding.
4. Account Registration
To use most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.
We may suspend, disable, or terminate your account if you violate these Terms or if we determine, in our reasonable judgment, that your conduct could harm SmartEat, its users, or third parties.
5. If You Are a Business User
This section applies if you register as a Business User to provide meal planning services to your clients through the SmartEat platform.
5.1. Your Role
As a Business User, you operate an independent business. SmartEat is a tool you use to serve your own clients. You are responsible for:
- The professional services you provide to your clients, including the appropriateness of meal plans for each client's circumstances.
- Communications with your clients outside of the Service.
- Your own pricing within the tiers offered by SmartEat, as well as your own marketing of your services to your clients.
- Compliance with all laws applicable to your business, including licensing, tax, advertising, and consumer protection laws in your jurisdiction.
- Maintaining your Stripe Connect account in good standing and providing accurate information for KYC and tax reporting.
5.2. Representations and Warranties (Scope of Practice)
By registering as a Business User, you represent and warrant that:
(a) You hold all licenses, certifications, and authorizations required by applicable law to provide the services you offer to your clients;
(b) You will use the Service only within the lawful scope of practice permitted by your existing licenses and certifications. If you hold a Registered Dietitian license or comparable healthcare credential, you may use the Service in any manner consistent with the scope of that license. If you do not hold such a license, you will not use the Service to provide medical nutrition therapy, treat any disease, or engage in any activity reserved for licensed dietitians or healthcare providers under applicable law;
(c) You will not represent the Service or the meal plans it generates as a medical prescription, dietary therapy, or substitute for medical advice;
(d) When working with Subscribers who indicate pregnancy or breastfeeding status, you acknowledge that such Subscribers are recommended to consult a healthcare provider before following any meal plan, and you will not actively discourage such consultation;
(e) You will comply with all applicable laws and regulations in marketing and providing your services to your clients.
You agree to indemnify and hold SmartEat harmless from any claim, regulatory action, or proceeding arising from your breach of these representations or your use of the Service outside your lawful scope of practice. (See also Section 14.)
5.3. Revenue Share and Payouts
As a Business User, you do not pay SmartEat a subscription fee. Instead, you select a subscription tier for your clients during onboarding. SmartEat retains a flat platform fee of $10 per Subscriber per month, and the remainder is paid to you as a payout via Stripe Connect.
Payouts are processed by Stripe according to Stripe's standard payout schedule. You are responsible for any taxes owed on amounts received.
5.4. Subscriber Communications
SmartEat sends transactional and service-related emails to your Subscribers (for example, confirmation that their questionnaire was received, that their plan is ready, billing notices, and similar messages). SmartEat may also send your Subscribers marketing, promotional, re-engagement, and other lifecycle emails. By accepting these Terms, you authorize SmartEat to send these communications to your Subscribers, and you acknowledge that each Subscriber separately consents to marketing emails when providing their email address, and may unsubscribe from them at any time.
You acknowledge that SmartEat may need to communicate directly with Subscribers regarding service interruptions, security matters, billing, or other operational issues that affect their use of the Service.
6. If You Are a Subscriber
This section applies if you sign up as a Subscriber to receive meal planning services from a Business User through the SmartEat platform.
6.1. The Service You Receive
When you complete the Online Questionnaire on a Business User's branded page, you submit information to SmartEat, which generates a Meal Plan based on your inputs and the parameters configured by your Business User.
